Northwoods Supply Solutions Terms of Service
Effective Date: August 13, 2026
These Terms of Service ("Terms") govern access to and use of northwoodsb2b.com and the purchase of products or services from Northwoods Supply Solutions.
Northwoods Supply Solutions is an assumed name of Northwoods Commerce Group LLC, a Minnesota limited liability company. References to "Northwoods Supply Solutions," "Northwoods," "we," "us," or "our" refer to Northwoods Commerce Group LLC doing business as Northwoods Supply Solutions.
By accessing our website, creating an account, requesting a quote, submitting a purchase order, placing an order, or otherwise purchasing from us, you agree to these Terms.
1. Business-to-Business Sales
Northwoods Supply Solutions primarily provides products and procurement services to businesses, organizations, governmental entities, and other commercial customers.
By placing an order on behalf of an organization, you represent that:

You have authority to bind the organization to the purchase.

Products purchased through us are being acquired primarily for business or commercial purposes unless otherwise expressly agreed in writing.
2. Our Business Model
Northwoods Supply Solutions helps business customers source and purchase frequently ordered products through a consolidated purchasing experience.
Products may be sourced from and fulfilled by multiple manufacturers, wholesalers, distributors, or other third-party suppliers.
Northwoods Supply Solutions generally acts as the seller to the customer even when fulfillment is performed by a third-party supplier.
A single customer order may therefore result in multiple supplier orders, shipments, tracking numbers, delivery dates, and return locations.
3. Customer-Specific Catalogs
Certain customers may receive access to private or customer-specific catalogs containing products selected or sourced for their organization.
Catalog access, product availability, pricing, discounts, payment terms, and other account features may vary between customers.
Customer-specific catalog information is intended only for the customer to whom access is provided and should not be shared with unauthorized third parties.
We may add, remove, replace, or update products within a customer-specific catalog as supplier availability, pricing, product specifications, or customer requirements change.
4. Product Information
We make reasonable efforts to provide accurate product descriptions, specifications, images, part numbers, pricing, and availability.
However, much of this information may originate from manufacturers, distributors, or other suppliers.
Product packaging, appearance, specifications, manufacturer information, model numbers, and other characteristics may change without prior notice.
Customers are responsible for reviewing product specifications before purchase when a particular specification, size, compatibility requirement, manufacturer, model, or part number is important.
Contact us before ordering if you need confirmation of a specific product characteristic.
5. Product Sourcing and Substitutions
When requested, Northwoods Supply Solutions may research alternative products or sources for products requested by a customer.
We will not knowingly substitute a materially different product when a specific manufacturer, model, part number, specification, or other characteristic is material to the order without customer approval.
Recommendations or suggested alternatives are based on information reasonably available to us and do not replace the customer's responsibility to determine whether a product is appropriate for its intended application.
6. Quotes
Quotes are valid only for the period stated on the quote.
If no expiration period is stated, a quote may be withdrawn or revised at any time before an order is accepted.
Unless expressly stated otherwise, quoted pricing is subject to:

Supplier pricing
-
Freight and shipping requirements
-
Taxes
-
Manufacturer surcharges

Regulatory or hazardous-material fees

Other costs outside our reasonable control
Submitting a purchase order based on a quote does not guarantee acceptance if pricing, availability, or other material conditions have changed.
We will attempt to notify the customer of material changes before processing an affected order.
7. Pricing
Prices may vary by customer, quantity, supplier, delivery location, market conditions, or negotiated account arrangements.
We reserve the right to correct typographical errors, pricing errors, supplier data errors, and other mistakes.
If a material pricing error is identified after an order is submitted but before fulfillment, we may contact the customer for approval of the corrected price or cancel and refund the affected item.
8. Orders and Acceptance
Submitting an order does not necessarily mean the order has been finally accepted.
We may decline, cancel, limit, or place an order on hold when reasonably necessary because of:

Unusual order quantities

Other legitimate business reasons
If we cancel an item after payment has been collected and no substitute or other resolution is agreed upon, the applicable amount will be refunded.
9. Purchase Orders and Customer Terms
Northwoods Supply Solutions may accept customer purchase orders when approved for the applicable account.
Any additional or different terms contained in a customer's purchase order, procurement system, vendor portal, acknowledgment, or other document are objected to and are not accepted unless Northwoods Supply Solutions expressly agrees to those terms in writing.
Acceptance or fulfillment of a purchase order does not, by itself, constitute acceptance of additional or conflicting customer terms.
If Northwoods Supply Solutions and a customer enter into a separately negotiated written agreement, the separately negotiated agreement will control to the extent it expressly conflicts with these Terms.
10. Payment
Payment is due according to the terms presented at checkout, on an invoice, in a quote, or under an approved customer account arrangement.
Depending on the customer, available payment methods may include credit or debit card, electronic payment, invoice, or other approved methods.
Customers approved for payment terms must pay invoices according to those terms.
We may suspend ordering privileges, fulfillment, account access, or credit terms when amounts become past due.
The customer is responsible for reasonable costs associated with collecting valid past-due commercial obligations to the extent permitted by applicable law and any applicable written agreement.
11. Taxes
Customers are responsible for applicable sales, use, excise, or similar taxes unless a valid exemption applies.
Tax-exempt customers are responsible for providing current and valid exemption documentation before an applicable transaction is processed as tax exempt.
The customer is responsible for notifying us if its exemption status changes.
12. Shipping and Fulfillment
Orders may be fulfilled from multiple supplier or distribution locations.
Products within a single order may:

Ship separately.

Arrive on different dates.

Use different carriers.
-
Generate different tracking numbers.
Shipping, freight, delivery, backorder, and related terms are further described in our Shipping Policy, which is incorporated into these Terms by reference.
13. Inspection of Shipments
Customers should inspect shipments promptly after delivery.
Damage, shortages, incorrect products, or other delivery issues should be reported to support@northwoodsb2b.com as soon as reasonably possible.
Customers should retain shipping cartons, labels, packaging, and affected merchandise until we provide further instructions.
Some carrier or supplier claims may be subject to reporting deadlines, so prompt notice is important.
14. Returns and Cancellations
Returns, cancellations, damaged products, defective products, incorrect shipments, restocking fees, and related matters are governed by our Return and Refund Policy, which is incorporated into these Terms by reference.
All returns require authorization.
Products should not be returned to Northwoods Supply Solutions or directly to a supplier or manufacturer unless we provide return instructions.
15. Manufacturer Warranties
Certain products may carry warranties provided by their manufacturer.
When applicable, those warranties are provided by the manufacturer under the manufacturer's own terms and procedures.
Northwoods Supply Solutions may assist with a warranty claim when reasonably possible, but we do not control a manufacturer's warranty determination, repair process, replacement decision, or processing time.
Nothing in these Terms eliminates any express warranty separately and specifically made by Northwoods Supply Solutions in writing.
16. Disclaimer of Implied Warranties
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, EXCEPT FOR ANY EXPRESS WARRANTY SPECIFICALLY PROVIDED BY NORTHWOODS SUPPLY SOLUTIONS IN WRITING, PRODUCTS ARE PROVIDED WITHOUT ANY WARRANTY BY NORTHWOODS SUPPLY SOLUTIONS BEYOND WARRANTIES THAT CANNOT LAWFULLY BE DISCLAIMED.
TO THE FULLEST EXTENT PERMITTED BY LAW, NORTHWOODS SUPPLY SOLUTIONS DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.
Manufacturer warranties, when available, remain subject to the manufacturer's terms.
Nothing in this section is intended to disclaim or limit a warranty or remedy that applicable law does not permit us to disclaim or limit.
17. Product Suitability
Customers are responsible for determining whether products are suitable, compatible, lawful, and appropriate for their intended business use.
Unless expressly agreed otherwise in writing, Northwoods Supply Solutions is not acting as an engineer, architect, safety professional, medical professional, legal professional, or other licensed technical adviser.
Product sourcing assistance should not be interpreted as professional advice regarding installation, regulatory compliance, workplace safety, engineering suitability, or other specialized matters.
18. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, NORTHWOODS SUPPLY SOLUTIONS AND NORTHWOODS COMMERCE GROUP LLC WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOSS OF BUSINESS, LOSS OF PRODUCTION, OR LOSS OF USE, ARISING FROM A PRODUCT, ORDER, DELAY, WEBSITE USE, OR TRANSACTION.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, OUR AGGREGATE LIABILITY ARISING FROM A PARTICULAR PRODUCT OR TRANSACTION WILL NOT EXCEED THE AMOUNT ACTUALLY PAID TO NORTHWOODS SUPPLY SOLUTIONS FOR THE PRODUCT OR TRANSACTION GIVING RISE TO THE CLAIM.
These limitations do not apply to liability that cannot lawfully be limited or excluded.
19. Delays and Events Outside Our Control
We are not responsible for delays or failure to perform caused by events beyond our reasonable control, including:

Severe weather

Fire

War or civil disturbance

We will make reasonable efforts to communicate material delays when we become aware of them.
20. Customer Accounts and Security
Customers are responsible for maintaining the confidentiality of login credentials associated with their accounts.
You are responsible for activity performed through your account by persons whom you authorize to use it.
Notify us promptly if you believe an account or login credential has been compromised.
We may suspend access when reasonably necessary to protect the customer, Northwoods Supply Solutions, or the security of the website.
21. Acceptable Website Use
You may not use our website or customer portal to:

Violate applicable law.

Attempt unauthorized access to another customer's account or catalog.

Interfere with website security or operation.

Introduce malicious software or code.

Scrape, reproduce, or commercially exploit customer-specific pricing or catalog data without authorization.

Engage in fraudulent activity.

Misrepresent your identity or authority.
We may restrict or terminate access for misuse of the website or customer portal.
22. Intellectual Property
The Northwoods Supply Solutions name, logos, graphics, website content, customer portal design, and other original brand materials are owned by or licensed to Northwoods Commerce Group LLC unless otherwise indicated.
Manufacturer names, product names, logos, trademarks, and other third-party intellectual property belong to their respective owners.
Displaying third-party product information does not imply ownership of those marks by Northwoods Supply Solutions.
23. Privacy
Our collection and use of personal information is governed by our Privacy Policy.
Customers are responsible for ensuring that individuals whose information they provide to us are authorized to have that information used for legitimate business and order-processing purposes.
24. Electronic Communications
By communicating or transacting with us electronically, you consent to receive order information, invoices, account communications, notices, and other business communications electronically where permitted by law.
25. Changes to These Terms
We may update these Terms periodically.
The version applicable to a transaction is generally the version in effect when the applicable order is accepted, unless a separately negotiated agreement provides otherwise.
Changes will not retroactively alter a separately executed written agreement unless the parties agree.
26. Severability
If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will remain in effect to the fullest extent permitted by law.
27. No Waiver
Failure to enforce a provision of these Terms in one instance does not waive our right to enforce that provision in another instance.
28. Governing Law
These Terms and transactions with Northwoods Supply Solutions are governed by the laws of the State of Minnesota, without regard to conflict-of-law principles, except where applicable law requires otherwise.
To the extent a dispute may lawfully be subject to an agreed forum, the parties consent to jurisdiction in the appropriate state courts located in or serving Aitkin County, Minnesota, or the applicable federal court having jurisdiction over the matter.
29. Order of Precedence
If terms conflict, the following order generally applies unless otherwise expressly agreed in writing:

A separately negotiated written agreement signed or expressly accepted by Northwoods Supply Solutions and the customer.

A customer-specific written quote or invoice containing transaction-specific terms.

Other general website content.
Customer purchase-order terms do not override this order of precedence unless expressly accepted by Northwoods Supply Solutions in writing.
